Terms of Service

These Terms of Service (“Terms”) govern your access to and use of TenderScout, a product of CivicByte (“CivicByte”, “we”, “us”). By creating an account or using the service, you agree to these Terms. If you are using TenderScout on behalf of an organisation, you confirm you are authorised to bind that organisation.

1. The service

TenderScout helps Australian businesses find, analyse, and respond to government tenders. It surfaces tender opportunities, extracts requirements from tender documents, and generates draft response material using AI. TenderScout is an assistive tool. It does not provide legal, procurement, or professional bidding advice, and it is not a substitute for your own review.

2. Your account

You must provide accurate account and business information and keep it current. You are responsible for activity under your account and for keeping your credentials secure. TenderScout is intended for business use by Australian organisations and the people acting for them.

3. Subscriptions, trials and billing

TenderScout offers a free trial and paid plans (currently Scout and Pro). Paid subscriptions are billed in advance through our payment processor, Stripe. You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Usage limits for each plan are described in the product. Fees are exclusive of taxes unless stated otherwise.

4. Your content

You retain all rights to the documents, business profile, and other material you upload (“Your Content”). You grant us a limited licence to process Your Content solely to provide the service to you — including sending relevant portions to the third-party AI and document processors described in our Privacy Policy. You are responsible for ensuring you have the right to upload Your Content and that doing so does not breach any confidentiality obligation you owe to a third party.

5. AI-generated output

Match scores, requirement extractions, and draft responses are generated by automated systems and may be incomplete or inaccurate. You must review and verify any output — including compliance requirements, deadlines, and draft content — before relying on it or submitting a bid. You are solely responsible for the bids and other materials you submit to a buyer.

6. Acceptable use

You agree not to misuse the service: no unlawful activity, no attempts to breach security or access other users’ data, no scraping or reverse engineering, and no uploading of malware or content you have no right to share. We may suspend accounts that put the service or other users at risk.

7. Intellectual property

The TenderScout platform, including its software, design, and branding, belongs to CivicByte. These Terms do not transfer any of our intellectual property to you beyond the right to use the service.

8. Disclaimers and limitation of liability

The service is provided “as is”. To the extent permitted by law, we exclude implied warranties and are not liable for indirect or consequential loss, or for loss arising from your reliance on AI-generated output or from a missed tender deadline. Nothing in these Terms excludes rights you have under the Australian Consumer Law that cannot lawfully be excluded. Where liability cannot be excluded, our liability is limited, at our option, to resupplying the service or refunding the fees you paid for it in the preceding three months.

9. Termination

You may stop using TenderScout and close your account at any time. We may suspend or terminate access if you breach these Terms or if required by law. Your uploaded drafts and analysis remain available to you while your account is active.

10. Changes

We may update these Terms from time to time. If we make a material change, we will take reasonable steps to notify you. Continued use after a change means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.
